Individual Contributor License Agreement

Thank you for your interest in contributing to proximum ("the Project").

This agreement clarifies the terms under which You ("the Contributor") make contributions to the Project.

1. Definitions

  • "You" means the individual submitting the contribution
  • "Contribution" means any original work of authorship, including modifications or additions, submitted to the Project
  • "Project" means the proximum software project
  • "Maintainer" means replikativ, the organization maintaining the Project

2. Grant of Rights

You grant to the Maintainer and to recipients of software distributed by the Maintainer:

2.1 Copyright License

You grant a perpetual, worldwide, non-exclusive, no-charge, royalty-free, irrevocable copyright license to:

  • Reproduce, prepare derivative works of, publicly display, publicly perform, sublicense, and distribute your Contributions
  • Distribute your Contributions under the Project's open source license (Apache License 2.0)
  • Distribute your Contributions under commercial license terms

2.2 Patent License

You grant a perpetual, worldwide, non-exclusive, no-charge, royalty-free, irrevocable patent license to make, have made, use, offer to sell, sell, import, and otherwise transfer your Contributions, where such license applies only to patent claims licensable by you that are necessarily infringed by your Contribution(s) alone or by combination of your Contribution(s) with the Project.

3. You Represent and Warrant That:

(a) You have the legal right to grant the above licenses

(b) Your Contributions are your original work (or you have the right to submit them under these terms)

(c) You are not aware of any third-party claims that would conflict with these licenses

4. You Are Not Required To:

  • Assign copyright to the Maintainer
  • Disclaim patent rights
  • Provide support for your Contributions (though you may choose to)

5. You Understand That:

(a) Your Contributions are public and will be maintained indefinitely

(b) The Maintainer may release your Contributions under the Project's open source license or commercial license terms

(c) The Project will always remain available under an OSI-approved open source license

6. No Obligation

You are not obligated to provide maintenance, support, updates, enhancements, or modifications for your Contributions. However, you may choose to do so.

7. Governing Law

This agreement shall be governed by the laws of Germany.
